By accessing, registering for, submitting a reservation request through, or otherwise using the Riddup platform, you agree to these Terms of Service and all policies applicable to your use of Riddup, including, where applicable:
- the Privacy Policy;
- Rental Agreement;
- Cancellation Policy;
- Fee Disclosure;
- Protection & Coverage;
- Post-Rental Payment Authorization;
- Non-Discrimination Policy;
- Cookie Policy;
- Biometric Data Privacy Policy;
- Community Guidelines;
- Supplemental Privacy Policy; and
- applicable Reservation Details.
Please review these documents carefully before using the platform or submitting a reservation request.
If you do not agree to these Terms, you may not use the Riddup platform.
1. Introduction
Riddup LLC (“Riddup,” “we,” “us,” or the “Platform”) operates a technology-enabled mobility marketplace that connects independent vehicle providers with guests seeking short-term vehicle rentals in Puerto Rico.
Riddup provides tools that may allow users to:
- browse available Vehicles;
- submit reservation requests;
- communicate with Vehicle Providers;
- complete identity and driver verification;
- process payments;
- review applicable fees and protection information;
- coordinate Vehicle pickup and return;
- obtain customer support; and
- facilitate rental-related claims, deposits, and post-rental administration.
Riddup does not own the Vehicles listed by independent Vehicle Providers.
Riddup does not operate its own rental fleet unless expressly stated in the applicable Reservation Details.
Riddup is not a traditional rental-car company.
Riddup is not an insurance company, insurance producer, or claims adjuster.
Unless expressly stated otherwise in writing, Riddup acts as a technology-platform operator and reservation facilitator. The applicable Vehicle Provider identified in the Reservation Details is the Vehicle owner, authorized fleet operator, or other lessor providing the Vehicle to the Guest.
The specific rental transaction between the Vehicle Provider and the Guest is governed by the Riddup Rental Agreement and applicable Reservation Details.
2. Definitions
For purposes of these Terms:
Account means a registered Riddup user account.
Authorized Driver means a driver approved through Riddup before operating a Vehicle.
Guest means a person who browses, requests, reserves, receives, or operates a Vehicle through Riddup.
Host means the Vehicle Provider. Riddup may use “Host” in platform communications, operational materials, and customer-support interactions.
Platform means Riddup’s website, mobile experience, communications systems, payment flow, support channels, software, and related services.
Protection & Coverage means any insurance or protection program made available in connection with a reservation, subject to the applicable policy.
Reservation Details means the transaction-specific confirmation, checkout summary, electronic record, or other documentation identifying information such as:
- the Vehicle;
- Vehicle Provider or Host;
- Guest;
- Authorized Drivers;
- rental price;
- pickup and return dates and times;
- pickup and return locations;
- Security Deposit;
- applicable deductible;
- Protection & Coverage; and
- other reservation-specific requirements.
Security Deposit means an authorization hold or refundable deposit used to secure certain obligations arising from a reservation.
User means any Guest, Vehicle Provider, Authorized Driver, account holder, website visitor, or other person using Riddup.
Vehicle means a vehicle listed, requested, reserved, or rented through Riddup.
Vehicle Provider means the independent owner, authorized fleet operator, or other lessor offering a Vehicle through the Platform.
3. Riddup’s Marketplace Role
Riddup facilitates connections and transactions between independent Vehicle Providers and Guests.
Unless expressly stated otherwise in writing:
- Riddup does not own Vehicles listed by independent Vehicle Providers.
- Riddup is not the lessor merely because it facilitates a reservation or processes payment.
- Riddup does not guarantee that any Vehicle will remain available until the reservation is approved and confirmed.
- Riddup does not independently guarantee the mechanical condition, roadworthiness, legality, safety, performance, or suitability of any Vehicle.
- Riddup does not determine legal fault for an Accident or loss.
- Riddup does not make final insurance-coverage or claim decisions.
- Riddup does not guarantee the conduct, identity, reliability, or future behavior of any User.
- Riddup may facilitate payments, deposits, communications, inspections, claims coordination, Vehicle recovery, and other administrative services.
- Riddup may act on behalf of a Vehicle Provider solely for limited reservation, payment, communication, documentation, claim-coordination, and recovery functions.
Vehicle Providers remain responsible for the ownership or lawful control, condition, maintenance, registration, inspection, safety, and legal compliance of their Vehicles.
Guests remain responsible for their conduct, use of the Vehicle, compliance with the Rental Agreement, and actions of Authorized Drivers associated with their reservations.
4. Eligibility
To use certain Platform features or request a Vehicle, you must:
- be at least 21 years old or satisfy the higher minimum age applicable to the Vehicle, insurance program, or reservation;
- possess a valid driver’s license when driving eligibility is required;
- have legal capacity to enter into a binding agreement;
- provide accurate, complete, and current information;
- satisfy applicable identity, driver, and payment-verification requirements;
- meet applicable Vehicle Provider and insurance-program requirements; and
- comply with applicable laws and regulations.
Additional age, license-history, payment, deposit, geographic, or eligibility requirements may apply to particular Vehicles or reservations.
Riddup may decline, suspend, cancel, or terminate an Account, reservation request, or confirmed reservation where reasonably necessary because of:
- fraud or suspected fraud;
- inaccurate or unverifiable information;
- payment concerns;
- identity or licensing concerns;
- safety risks;
- policy violations;
- insurance-eligibility requirements;
- suspected misuse of the Platform; or
- other circumstances permitted by applicable law.
Approval of an Account, User, Vehicle, or reservation does not guarantee future eligibility or behavior.
5. Account Registration and Security
Certain Platform functions may require an Account.
You agree to:
- provide truthful and current registration information;
- maintain accurate contact information;
- protect your login credentials;
- not share your Account with unauthorized persons;
- promptly report suspected unauthorized Account access; and
- accept responsibility for activity occurring through your Account to the extent permitted by law.
You may not create an Account:
- using another person’s identity without authorization;
- using false or misleading information;
- to evade a suspension or termination;
- for fraudulent or unlawful activity; or
- through automated or unauthorized methods.
Riddup may require additional information or documentation at any time reasonably necessary to verify identity, licensing, eligibility, payment information, or Account security.
6. Identity, Driver, and Payment Verification
Riddup may use internal procedures and authorized third-party service providers to verify:
- identity;
- driver’s-license information;
- contact information;
- payment methods;
- age;
- driving eligibility;
- fraud risk;
- device or transaction information; and
- other information reasonably necessary to operate the Platform safely.
Verification may involve photographs, identity documents, biometric information where separately disclosed and legally permitted, database checks, payment-verification procedures, or additional information requests.
Completion of verification does not guarantee:
- reservation approval;
- continuing eligibility;
- Vehicle availability;
- insurance coverage; or
- the future conduct of a User.
Failure to complete requested verification may result in denial, delay, suspension, or cancellation of an Account or reservation.
7. Vehicle Listings
Vehicle Providers are responsible for ensuring that their listings are accurate, lawful, and not misleading.
Vehicle listings may include information concerning:
- price;
- Vehicle characteristics;
- mileage limits;
- pickup and return arrangements;
- availability;
- rules;
- deposits;
- fees;
- coverage;
- photographs; and
- other reservation requirements.
Riddup may review, modify the display of, suspend, or remove a listing when reasonably necessary for operational, safety, legal, quality-control, or policy-compliance reasons.
Riddup does not guarantee that listing photographs, descriptions, estimates, or availability information will always be free from errors.
If there is a material difference between a listing and the Vehicle offered, the User should notify Riddup promptly.
8. Reservation Requests and Confirmation
Submitting a reservation request does not by itself create a confirmed reservation or guarantee Vehicle availability.
A reservation is confirmed only after:
- applicable eligibility requirements have been satisfied;
- required verification has been completed;
- the Vehicle Provider or Riddup has approved the request, where applicable;
- required terms and disclosures have been accepted;
- payment requirements have been satisfied; and
- Riddup communicates confirmation to the Guest.
Riddup may manually review availability and eligibility before confirming a reservation.
A displayed Vehicle, price, or date does not guarantee final availability until confirmation is issued.
Riddup may request additional information or propose alternative Vehicles, dates, pickup arrangements, or reservation terms before confirmation.
The Guest should review the Reservation Details carefully and promptly report any material error.
9. Rental Agreement
Every confirmed Vehicle rental is subject to the Riddup Rental Agreement and applicable Reservation Details.
The Rental Agreement governs rental-specific matters, including:
- Authorized Drivers;
- Vehicle pickup and return;
- Vehicle condition;
- proper and prohibited use;
- Accidents and claims;
- Damage;
- deductibles;
- Security Deposits;
- Loss of Use;
- post-rental charges;
- failure to return;
- Vehicle recovery; and
- other Guest and Vehicle Provider obligations.
If there is a direct conflict between these Terms and the Rental Agreement concerning a specific rental obligation, the Rental Agreement controls with respect to that rental.
The applicable insurance policy always controls insurance-coverage matters.
10. Prices, Taxes, and Fees
Prices displayed on the Platform may include or exclude certain taxes, fees, deposits, coverage costs, and optional or reservation-specific charges, as indicated during the reservation process.
Headline or preliminary pricing may not represent the total reservation cost.
Before payment is collected, Riddup will disclose the applicable amounts available at that stage of the reservation, which may include:
- Vehicle rental charges;
- Protection & Coverage charges;
- service fees;
- taxes;
- Security Deposit requirements;
- delivery or pickup charges;
- additional-driver fees;
- late-return charges;
- mileage charges;
- cleaning or smoking-remediation charges;
- applicable deductible information; and
- other disclosed fees.
Certain charges, including tolls, citations, Damage, fuel shortages, cleaning, towing, recovery costs, deductibles, or other post-rental obligations, may not be known until after the reservation ends.
Applicable charges are further described in the Fee Disclosure, Rental Agreement, Reservation Details, and Post-Rental Payment Authorization.
11. Payments
Payments through the Platform may be processed by Stripe or other authorized payment-service providers.
By submitting payment information, you represent that:
- you are authorized to use the payment method;
- the information provided is accurate;
- Riddup and its payment providers may process applicable charges; and
- you will not knowingly initiate an improper or fraudulent payment dispute.
You authorize Riddup and its payment processors to process valid amounts relating to:
- reservations;
- extensions;
- service fees;
- Protection & Coverage;
- taxes;
- Security Deposits;
- Damage;
- deductibles;
- tolls;
- citations;
- fuel or charging shortages;
- excessive cleaning;
- smoke remediation;
- roadside assistance;
- towing;
- storage;
- late returns;
- Vehicle recovery;
- Administrative Fees;
- Loss of Use;
- collection costs permitted by law; and
- other charges authorized by the Rental Agreement, Fee Disclosure, Reservation Details, or applicable law.
Charges identified after a reservation may be processed pursuant to the Rental Agreement and Post-Rental Payment Authorization.
An inability to charge a payment method does not eliminate a valid payment obligation.
12. Security Deposits
Certain reservations may require a Security Deposit or authorization hold.
The applicable Security Deposit requirement will be disclosed before payment or reservation confirmation.
A Security Deposit:
- is separate from the rental charge and Protection & Coverage charge;
- is not insurance;
- does not guarantee insurance coverage;
- does not necessarily limit the User’s financial responsibility; and
- may be applied only in accordance with the Rental Agreement, Fee Disclosure, Reservation Details, and applicable law.
Riddup may temporarily retain or delay the release of a Security Deposit while a reported claim, unpaid balance, toll, citation, Vehicle condition issue, or other rental-related matter is reasonably investigated.
Release by Riddup does not control the additional processing time required by a bank, card issuer, or payment processor.
13. Protection and Coverage
Riddup does not issue insurance policies and does not act as an insurer.
Protection & Coverage may be required and separately charged for reservations.
Any insurance or protection made available in connection with a reservation is subject exclusively to:
- the applicable insurance policy;
- eligibility requirements;
- coverage limits;
- deductibles;
- exclusions;
- prohibited-use provisions;
- reporting and cooperation requirements; and
- applicable Reservation Details.
Any summary provided by Riddup is informational only.
If a Riddup summary conflicts with an insurance policy, the applicable insurance policy controls.
Protection & Coverage does not guarantee payment for every Accident, Damage claim, theft, loss, or other incident.
The denial or absence of insurance coverage does not by itself eliminate a valid contractual obligation under the Rental Agreement.
14. Roadside Assistance
Roadside assistance is not automatically included unless expressly stated in the Reservation Details.
Riddup or the Vehicle Provider may help coordinate roadside services when reasonably available.
Service availability, response times, and coverage are not guaranteed.
Guests may be responsible for towing, locksmith, tire, battery, storage, recovery, or other roadside charges as provided in the Rental Agreement, Fee Disclosure, Reservation Details, or applicable insurance policy.
For immediate danger or injury, Users should contact emergency services first.
15. Cancellation and Reservation Changes
Reservation cancellations, refunds, credits, modifications, and related charges are governed by Riddup’s Cancellation Policy and applicable Reservation Details.
Cancellation deadlines and refund eligibility may vary depending on:
- timing;
- Vehicle;
- Vehicle Provider;
- reservation type;
- payment status;
- reason for cancellation; and
- other disclosed circumstances.
A reservation change is not effective until approved and confirmed through Riddup.
Submitting a modification or extension request does not guarantee approval.
Riddup may cancel or modify a reservation where reasonably necessary because of:
- Vehicle unavailability;
- safety concerns;
- mechanical issues;
- verification failure;
- suspected fraud;
- payment failure;
- eligibility issues;
- severe weather;
- emergencies;
- legal restrictions; or
- other circumstances permitted by law.
Any refund or alternative arrangement will be handled in accordance with the applicable policies and circumstances.
16. Guest Responsibilities
Guests agree to:
- comply with these Terms and the Rental Agreement;
- use the Platform lawfully;
- provide truthful reservation information;
- comply with verification requirements;
- ensure that only Authorized Drivers operate the Vehicle;
- use the Vehicle safely and responsibly;
- comply with traffic and parking laws;
- not operate the Vehicle while impaired;
- not use the Vehicle for unlawful or prohibited purposes;
- protect and secure the Vehicle;
- promptly report Accidents, Damage, theft, warning lights, and material Vehicle concerns;
- cooperate with reasonable claim, recovery, and investigation procedures;
- timely return the Vehicle; and
- pay valid charges arising from the reservation.
Guests may be responsible for tolls, citations, Damage, deductibles, fees, and other obligations as provided in the Rental Agreement, Fee Disclosure, Reservation Details, and applicable law.
17. Vehicle Provider Responsibilities
Vehicle Providers agree to:
- list only Vehicles they legally own, control, or are authorized to rent;
- maintain required licenses, registrations, permits, and documentation;
- maintain Vehicles in a condition suitable for lawful operation;
- perform required maintenance and inspections;
- accurately describe Vehicles and reservation requirements;
- disclose known material defects or safety concerns;
- maintain applicable insurance and program eligibility;
- honor confirmed reservations except where cancellation is reasonably necessary;
- comply with applicable laws and Riddup policies;
- cooperate with verification, claims, inspections, and investigations;
- not request unauthorized off-platform payments; and
- protect Guest information.
Vehicle Providers remain responsible for the mechanical and legal condition of Vehicles offered through the Platform, except to the extent Damage or unsafe conditions arise during a Guest’s Rental Period or result from another person’s conduct.
Riddup may impose additional Vehicle Provider requirements through a separate Vehicle Provider Agreement.
18. Communications
By using Riddup, you consent to receive reservation-related communications through:
- email;
- telephone;
- SMS or text message;
- WhatsApp;
- Platform messaging;
- push notification; or
- other contact methods you provide.
Communications may concern:
- verification;
- reservation requests;
- payment;
- pickup or return;
- emergencies;
- safety;
- claims;
- customer support;
- policy changes; and
- other service-related matters.
You are responsible for maintaining accurate contact information.
Marketing communications will be handled in accordance with applicable law and available opt-out rights.
Riddup may record or retain communications where disclosed and permitted by law for customer service, quality, safety, fraud prevention, training, or dispute-resolution purposes.
19. User Content
Users may submit or upload:
- listing descriptions;
- photographs;
- videos;
- messages;
- reviews;
- identification documents;
- Vehicle-condition records;
- claim materials; and
- other information or content.
You retain ownership of content you create, subject to the rights granted in these Terms.
By submitting content to Riddup, you grant Riddup a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, and use the content as reasonably necessary to:
- operate the Platform;
- display listings;
- administer reservations;
- verify users;
- process payments;
- investigate claims;
- prevent fraud;
- enforce agreements;
- provide support; and
- comply with legal obligations.
You represent that you have the right to submit the content and that it does not unlawfully violate another person’s rights.
Riddup may remove content that is unlawful, fraudulent, misleading, unsafe, inappropriate, infringing, or inconsistent with Platform policies.
20. Reviews and Feedback
Riddup may allow Guests and Vehicle Providers to submit reviews, ratings, or feedback.
Reviews must be truthful and based on genuine experiences.
Users may not submit:
- fabricated reviews;
- retaliatory or extortionate reviews;
- unlawful threats;
- discriminatory content;
- irrelevant personal information;
- knowingly false factual statements; or
- content intended to manipulate ratings.
Riddup may moderate or remove reviews where reasonably necessary to enforce Platform policies, protect privacy, address fraud, or comply with law.
Feedback, suggestions, or ideas voluntarily provided to Riddup may be used by Riddup without compensation or restriction, except as otherwise agreed in writing.
21. Prohibited Activities
Users may not:
- provide false, incomplete, or misleading information;
- impersonate another person;
- use unauthorized payment methods;
- engage in fraud or attempted fraud;
- use the Platform for unlawful activity;
- publish Vehicles that cannot lawfully be offered;
- bypass verification or security procedures;
- attempt to evade Platform charges or policies;
- arrange off-platform transactions to avoid applicable fees or protections;
- solicit another User to complete a Platform-originated rental outside Riddup;
- interfere with Platform operation or security;
- introduce malware or harmful code;
- scrape or extract Platform data without authorization;
- create unauthorized automated accounts or reservation requests;
- misuse another person’s personal information;
- threaten, harass, discriminate against, or abuse another User;
- interfere with a claim or investigation;
- submit false evidence;
- initiate fraudulent chargebacks; or
- assist another person in violating these Terms.
Riddup may investigate suspected violations and take reasonable action, including restricting communications, canceling reservations, withholding payouts where legally permitted, suspending Accounts, preserving records, or referring matters to insurers, payment processors, or law enforcement.
22. Off-Platform Transactions
Users may not use information obtained through Riddup to avoid Platform fees, verification, insurance requirements, or safety procedures by arranging a related rental or payment outside the Platform.
Off-platform transactions may:
- fall outside Riddup’s payment and support systems;
- be ineligible for Platform protections;
- affect applicable insurance or coverage;
- increase fraud and safety risks; and
- result in Account suspension or termination.
This section does not prohibit a lawful transaction that is unrelated to a connection originally created through Riddup.
23. Third-Party Services
Riddup may use or link to third-party services, including:
- payment processors;
- identity-verification providers;
- fraud-prevention services;
- insurance providers;
- mapping services;
- communications providers;
- roadside providers;
- analytics services; and
- other technology vendors.
Third-party services may be governed by separate terms and privacy policies.
Riddup is not responsible for the independent acts, omissions, availability, or policies of third-party providers except to the extent required by applicable law.
The inclusion of a link or integration does not constitute a guarantee of the third party’s services.
24. Platform Availability and Changes
Riddup may modify, suspend, limit, discontinue, or update Platform features.
The Platform may occasionally be unavailable because of:
- maintenance;
- technical problems;
- connectivity failures;
- third-party service disruptions;
- security events;
- emergencies; or
- circumstances outside Riddup’s reasonable control.
Riddup does not guarantee uninterrupted, error-free, or continuously available access.
Riddup may correct pricing, listing, technical, or administrative errors where permitted by law.
25. Intellectual Property
The Platform and its original content, features, design, software, trademarks, logos, and branding are owned by or licensed to Riddup and are protected by applicable intellectual-property laws.
Except as expressly permitted, Users may not:
- copy;
- reproduce;
- distribute;
- modify;
- reverse engineer;
- publicly display;
- sell;
- license;
- scrape; or
- create derivative works from
Riddup’s Platform, technology, branding, or proprietary content.
“Riddup” and related names, designs, slogans, and logos may not be used without prior written authorization.
26. Non-Discrimination and Community Conduct
Users must comply with Riddup’s Non-Discrimination Policy and Community Guidelines.
Riddup does not permit unlawful discrimination based on a protected characteristic.
Users must communicate and interact respectfully and must not engage in:
- harassment;
- threats;
- violence;
- intimidation;
- hate speech;
- abusive conduct; or
- conduct that creates a material safety risk.
Riddup may restrict or terminate access where reasonably necessary to protect Users or the Platform community.
27. Payment Disputes and Chargebacks
Users retain the right to dispute unauthorized, duplicate, inaccurate, or otherwise improper charges in good faith.
Before initiating a chargeback, Users are encouraged to contact Riddup so the matter can be reviewed and, where appropriate, corrected.
A chargeback, card cancellation, payment reversal, or removal of a payment method does not by itself eliminate a valid contractual obligation.
Initiating a payment dispute does not suspend a User’s obligation to:
- return the Vehicle;
- cooperate with a claim;
- provide reasonably requested documentation;
- protect evidence; or
- comply with other non-payment obligations.
Riddup may provide relevant reservation, acceptance, payment, inspection, communication, and claim records to payment processors, banks, card issuers, insurers, or other authorized parties.
Nothing in this section limits rights available under applicable law or card-network rules.
28. Suspension and Termination
Riddup may warn, restrict, suspend, or terminate an Account, listing, reservation, or access to the Platform where reasonably necessary because of:
- fraud or suspected fraud;
- violation of these Terms;
- violation of another applicable policy;
- unpaid valid obligations;
- safety concerns;
- abusive or discriminatory conduct;
- repeated cancellations;
- verification failure;
- insurance or eligibility issues;
- misuse of the Platform;
- legal or regulatory requirements; or
- operational risk.
Where appropriate and legally permitted, Riddup may take action without advance notice.
Termination does not eliminate obligations arising before termination, including valid payment, cooperation, confidentiality, indemnification, claim, or dispute obligations.
Users may request Account closure by contacting Riddup, subject to retention of records required for active reservations, claims, payment disputes, fraud prevention, or legal compliance.
29. Disclaimers
To the maximum extent permitted by applicable law, the Platform is provided on an “as available” basis.
Riddup does not warrant that:
- the Platform will be uninterrupted or error-free;
- every User is reliable or trustworthy;
- every reservation will be approved;
- every Vehicle will remain available;
- every Vehicle description will be free from error;
- every insurance claim will be accepted or paid; or
- third-party services will always be available.
Riddup does not disclaim responsibilities that cannot lawfully be excluded.
Nothing in these Terms limits a User’s non-waivable rights under applicable law.
30. Limitation of Liability
To the maximum extent permitted by applicable law, Riddup shall not be liable for losses arising solely from:
- traffic Accidents;
- acts or omissions of Guests;
- acts or omissions of Vehicle Providers;
- acts or omissions of third parties;
- independent Vehicle mechanical conditions;
- unauthorized or prohibited Vehicle use;
- inaccurate information supplied by Users;
- third-party payment, insurance, verification, roadside, or communications services;
- interruption or unavailability of the Platform; or
- indirect, incidental, special, punitive, or consequential losses.
This limitation does not apply where liability cannot lawfully be limited or where a loss results from Riddup’s own conduct to the extent liability is imposed by applicable law.
To the extent permitted by law, any Riddup liability will be determined based on Riddup’s actual role in the matter and will not automatically include responsibility for the independent conduct of a Vehicle Provider, Guest, insurer, service provider, or other third party.
31. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Riddup LLC and its officers, directors, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable expenses arising from:
- your unlawful or improper use of the Platform;
- your material violation of these Terms;
- your violation of applicable law;
- your infringement of another person’s rights;
- information or content you submit;
- your interactions with another User;
- your operation, ownership, provision, or use of a Vehicle; or
- fraud, negligence, intentional misconduct, or prohibited activity attributable to you.
This obligation does not require you to indemnify Riddup for Riddup’s own negligence or misconduct to the extent prohibited by law.
Riddup may control the defense of a covered claim, and you agree to provide reasonable cooperation.
32. Good-Faith Dispute Resolution
Before beginning formal legal proceedings, Users and Riddup agree to make reasonable, good-faith efforts to resolve disputes informally.
A User may begin the informal process by contacting:
support@riddup.com
The notice should include:
- the User’s name;
- applicable reservation number;
- description of the issue;
- relevant documentation; and
- requested resolution.
Nothing in this section prevents a party from seeking immediate relief where reasonably necessary to:
- protect personal safety;
- prevent fraud;
- recover a Vehicle;
- preserve evidence;
- comply with a legal deadline; or
- protect a legal right.
33. Governing Law and Jurisdiction
These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to applicable consumer rights and jurisdictional requirements, disputes relating to these Terms or the Platform shall be submitted to the competent state or federal courts located in Puerto Rico.
Each party consents to the applicable jurisdiction of those courts to the extent legally permitted.
34. Electronic Communications, Acceptance, and Records
By using Riddup, you agree to conduct transactions electronically and to receive agreements, notices, disclosures, receipts, and other records electronically.
Your electronic acceptance may be established through actions including:
- selecting an acceptance checkbox;
- creating an Account;
- submitting a reservation request;
- completing payment;
- accepting a confirmed reservation;
- taking possession of a Vehicle; or
- continuing to use the Platform after receiving applicable notice.
Riddup may retain records showing:
- the version of the terms presented;
- date and time of acceptance;
- Account information;
- reservation information;
- checkbox selections;
- payment records;
- communications; and
- related technical information lawfully collected.
No handwritten signature is required unless Riddup or applicable law specifically requires one.
35. Changes to These Terms
Riddup may update these Terms from time to time.
The updated version will identify its effective or last-updated date.
Material changes may be communicated through the Platform, email, or another reasonable method.
Unless otherwise stated or required by law:
- updated Terms apply prospectively after their effective date; and
- the version accepted in connection with a particular reservation continues to govern that reservation.
Riddup will not retroactively impose a material change on a completed reservation unless:
- the User expressly accepts the change;
- the parties agree in writing; or
- the change is required or permitted by law.
Continued use of the Platform after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
36. Order of Precedence
If applicable documents directly conflict:
- the applicable insurance policy controls insurance-coverage matters;
- the Reservation Details control transaction-specific terms;
- the Rental Agreement controls Vehicle-use and rental-obligation matters;
- the Fee Disclosure controls disclosed fee amounts and calculation methods;
- the Cancellation Policy controls cancellation and refund matters;
- the Post-Rental Payment Authorization controls applicable payment authorization; and
- these Terms control general use of the Platform.
The Privacy Policy and related privacy notices control the collection, use, and disclosure of personal information.
37. Severability
If a provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain effective to the maximum extent permitted by law.
The invalid provision shall be interpreted or limited, where legally permitted, in a manner that most closely reflects its intended lawful purpose.
38. No Waiver
Riddup’s failure or delay in enforcing a provision does not waive that provision or the right to enforce it later.
A waiver relating to one matter does not constitute a waiver relating to another matter.
Any waiver by Riddup must be in writing to be effective.
39. Assignment
Users may not assign or transfer their Accounts, reservations, or rights under these Terms without Riddup’s prior written consent.
Riddup may assign or transfer its rights and obligations in connection with:
- a merger;
- acquisition;
- corporate reorganization;
- sale of assets;
- financing;
- change of control; or
- transfer to an affiliated entity,
subject to applicable law and without reducing non-waivable consumer rights.
40. Entire Agreement
These Terms, together with the policies and agreements incorporated by reference, constitute the complete agreement between the User and Riddup regarding general use of the Platform.
They replace prior general understandings or communications concerning the same subject matter.
Reservation-specific obligations remain governed by the Reservation Details, Rental Agreement, and other applicable policies.
41. Language
Riddup may make these Terms available in English and Spanish.
The English and Spanish versions should be intended to communicate substantially equivalent terms.
Riddup should specify, after consulting Puerto Rico counsel, which version controls if there is a material inconsistency between translations.
Until that controlling-language provision is formally approved and published, Riddup should avoid displaying conflicting English and Spanish versions.
